Job Description
As Head of Legal & Compliance, the role has varied responsibilities including:
- Providing legal advice and guidance on CMBS and real estate lending matters.
- Ensure alignment with industry standards and compliance with all relevant laws, regulations, and CMBS/ lending and Asset Management requirements.
- Interpreting complex legal contracts and PSAs, applying them to daily commercial real estate servicing activities.
- Drafting, reviewing, and negotiating contracts and other legal documents.
- Review Asset Approval Memoranda for consents and loan workout proposals.
- Continuously monitor activities, conduct risk assessments and develop strategies to mitigate legal risks.
- Collaborate with asset management teams, senior leadership and internal stakeholders to handle legal and compliance issues effectively.
- Review, prepare and revise company policies and procedures. Monitor changes in regulations and advise on necessary adjustments to company policies.
- Handle regulatory filings and manage relationships with regulatory authorities.
- Promoting an environment of compliance, providing training and support to staff on compliance best practice and related matters.

The Successful Applicant
The successful Head of Legal & Compliance should have:
- A Juris Doctor (JD) or equivalent law degree from an accredited US institution.
- MBA preferred but not essential.
- Strong legal knowledge and expertise in the CMBS and real estate lending industry.
- Experience in compliance and regulatory requirements within the real estate lending.
- Excellent communication and interpersonal skills for collaboration with stakeholders.
- Strong senior stakeholder management skills.
- Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
- Skilled in managing outside counsel effectively.
- The ideal candidate will have some people management experience and an interest in identifying the best structure to develop a small legal function, recruiting and managing a small in-house legal function.
