Investment Funds Attorney
Lateral Associate – Corporate (Investment Funds) – Houston
Practice Area: Corporate – Investment Funds
Location: Houston, TX
Schedule: Onsite or Hybrid per firm policy; full-time with standard AmLaw 20 billable expectations (~2,000+ annually)
Salary: Estimated base range of $235,000 to $375,000 with annual bonuses generally $20,000 to $65,000+ , based on seniority, performance, and firm results.
The Client:
An AmLaw 20 powerhouse with a nationally recognized investment funds group, serving fund sponsors, institutional investors, and energy-sector funds. The Houston office is strategically expanding to meet demand from private equity and investment funds targeting energy, infrastructure, and emerging markets.
Description:
This position offers the opportunity to advise clients on private fund formation and structuring, investor negotiations, and compliance with U.S. securities laws and other regulatory regimes. The role will involve significant work on funds focused on energy, infrastructure, and private credit, as well as co-investment vehicles and joint ventures. You’ll collaborate with tax, regulatory, and M&A teams to handle complex cross-practice matters. The firm offers meaningful client contact, high-value transactional experience, and strong advancement potential.
Qualifications:
- JD from an accredited law school; admitted to the Texas Bar or eligible for admission.
- Preferred class years: 2018–2022 (mid-level) or 2015+ (senior lateral).
- Experience in private fund formation, offering documentation, and investor-side representation.
- Familiarity with Investment Advisers Act, securities laws, and fund compliance issues.
- Strong drafting, analytical, and negotiation skills.
- Ability to manage high-volume, complex transactions and coordinate with multidisciplinary teams.
- Business-oriented mindset and a collaborative work style.
